Welcome to The 2mm Shift. These Terms and Conditions ("Terms") govern your access to and use of our website (the "Site"), and the services, training, and paid communities provided by us, including the Brand Shift community (collectively, the "Services"). The Site and Services are operated by Josh Beechraft ("The 2mm Shift," "we," "our," "us").

By accessing or using the Site, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must discontinue your use of the Site and Services immediately.

1. Acceptance of Terms

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you should not use the Site or Services.

The 2mm Shift reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site or Services following the posting of changes will constitute your acceptance of such changes. We encourage you to review these Terms periodically.

You must be at least 18 years of age to use the Site and Services. By using the Site, you represent and warrant that you meet this eligibility requirement.

4. User Accounts

To access certain features of the Site or Services, including the Brand Shift community, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as needed to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account, whether authorized by you or not. You must notify us immediately of any unauthorized use of your account.

5. Payments, Subscriptions, and Refunds

Certain Services, such as the Brand Shift community, require payment of fees. By signing up for a paid Service, you agree to pay all applicable fees continuously and on time.

Recurring Billing: If you purchase a subscription (e.g., monthly or annual), your payment method will be automatically charged at the start of each billing cycle.

Cancellations: You may cancel your subscription at any time to prevent future billing. Cancellation requests must be submitted through your account dashboard or by emailing support prior to your next billing date.

Refund Policy: Due to the digital nature of our training, live events, and immediate access to community assets, all sales are final. Unless a specific, time-bound money-back guarantee is explicitly stated on the checkout page for a particular Service, we do not offer refunds, prorated or otherwise, for any purchases or subscription fees already processed.

6. Earnings and Results Disclaimer

The 2mm Shift and the Brand Shift community provide educational resources, training, and over-the-shoulder (OTS) demonstrations on coding, marketing, and business building. We do not guarantee any specific financial results, income, or business success. Any financial numbers or results showcased by us or other members are for illustrative and educational purposes only. Your individual success depends entirely on your own effort, market conditions, execution, and risk tolerance.

7. AI & Third-Party Platform Liability

Our Services teach the use of artificial intelligence and third-party development tools (including, but not limited to, Google AntiGravity, OpenAI, Anthropic, Vercel, Supabase, and GitHub).

Usage and Costs: You are solely responsible for creating, managing, and paying for your own third-party accounts. We are not liable for any API usage fees, unexpected billing charges (e.g., from code loops or heavy usage), or account bans incurred on third-party platforms.

Code and Functionality: AI models can "hallucinate" or generate flawed code. You are responsible for testing, securing, and verifying any code, software, or applications you build using our frameworks. We are not liable for any data loss, security breaches, or software failures resulting from your use of AI or third-party tools.

8. Community Guidelines & Conduct

Access to the Brand Shift community is a privilege. You agree to interact respectfully with all members and instructors. We maintain a zero-tolerance policy for harassment, spamming, solicitation of other members without permission, or the theft/redistribution of premium community content. We reserve the right to immediately terminate or suspend your access to the community, without warning or refund, if you violate these guidelines.

9. User-Generated Content and Idea Submissions

The Brand Shift community is a collaborative environment. By sharing app ideas, Product Requirements Documents (PRDs), code snippets, business models, or other content ("User Content") within the community, you acknowledge that no confidential or non-disclosure agreement (NDA) is implied or created. The 2mm Shift, its instructors, and other community members reserve the right to independently develop software, tools, or businesses that may be similar or identical to ideas shared within the group, without any obligation, compensation, or liability to you.

10. Use of Services

You agree to use the Site and Services in compliance with all applicable laws and regulations. You must not:

Use the Site or Services for any unlawful or unauthorized purpose.

Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.

Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site or Services.

11. Intellectual Property

All content, materials, and other elements available on the Site, including but not limited to text, graphics, logos, images, video training, and software, are the property of The 2mm Shift or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site without our prior written consent.

12. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by The 2mm Shift. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that The 2mm Shift is not responsible or liable for any damage or loss caused by or in connection with your use of any third-party content, goods, or services.

13. Limitation of Liability

To the fullest extent permitted by law, The 2mm Shift and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use of or inability to use the Site or Services;

Any unauthorized access to or use of our servers and/or any personal information stored therein;

Any interruption or cessation of transmission to or from the Site;

Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Site by any third party;

Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Site or Services.

14. Indemnification

You agree to indemnify and hold harmless The 2mm Shift, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your use of the Site or Services or your violation of these Terms.

15. Dispute Resolution, Arbitration, and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles.

Binding Arbitration: Any controversy or claim arising out of or relating to these Terms, the Site, or the Services shall be settled by binding arbitration administered by the American Arbitration Association in Cedar, Michigan, rather than in court.

Class Action Waiver: You and The 2mm Shift agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to a trial by jury or to participate in a class-action lawsuit.

16. Termination

We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will immediately cease.
